Terms of Service

Welcome to Mirai Recruit. These Terms of Service ("Terms") govern your access to and use of the Mirai Recruit platform at mirairecruit.com (the "Platform") and any related services provided by Mirai Recruit ("we," "our," or "us").

By registering for an account or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. About Mirai Recruit

Mirai Recruit is an AI-powered B2B hiring platform operated by Mirai Recruit Inc., a corporation incorporated in the State of Delaware, USA. The Platform enables employers to post job roles, assess candidates using cognitive ability tests and personality science, and manage their hiring pipeline through a structured dashboard.

2. Eligibility

To use the Platform, you must be at least 18 years old and acting on behalf of a legitimate business organisation. By registering, you represent that you have the authority to bind your organisation to these Terms.

Mirai Recruit is a business-to-business service and is not intended for personal or consumer use.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at hello@mirairecruit.com if you suspect unauthorised access to your account.

Each account is associated with one organisation. You may invite additional team members to your organisation account subject to your subscription tier. You are responsible for all activity conducted through your account and those of your invited team members.

4. Permitted Use

You may use the Platform solely to assess and recruit candidates for genuine employment opportunities within your organisation. You must not:

  • Use the Platform for any unlawful purpose or in violation of applicable employment or anti-discrimination laws
  • Post fictitious or misleading job roles to collect candidate data without a genuine hiring intent
  • Attempt to reverse-engineer, scrape, or extract data from the Platform beyond your authorised access
  • Share, sell, or disclose candidate assessment data to any third party other than for the purpose of evaluating that candidate for the posted role
  • Interfere with or disrupt the security, integrity, or performance of the Platform
  • Use the Platform to discriminate against candidates on the basis of any protected characteristic under applicable law

We reserve the right to suspend or terminate your account immediately if you breach these Terms.

5. Candidate Data and GDPR Obligations

When candidates apply through your Mirai Recruit posting, they provide personal data including assessment results. As the employing organisation, you act as a joint data controller alongside Mirai Recruit for that candidate data. You are responsible for:

  • Ensuring your use of candidate data complies with applicable data protection law, including GDPR
  • Retaining candidate data only for as long as necessary for the relevant hiring decision
  • Responding to candidate data subject requests (access, erasure, portability) that are directed to you as employer
  • Not using psychometric assessment data for any purpose other than evaluating the candidate for the specific role applied for

Mirai Recruit informs candidates of their data rights at the point of application and provides its own data subject request channel. Employer obligations are separate and additional.

6. Subscriptions and Billing

Access to the Platform is provided on a subscription basis. Subscription plans, pricing, and included assessment volumes are set out on the Pricing page. By subscribing, you authorise Mirai Recruit to charge your nominated payment method via Stripe on the applicable billing cycle.

  • Subscriptions renew automatically unless cancelled before the renewal date
  • Refunds are not provided for partial billing periods, except where required by applicable consumer protection law
  • We reserve the right to adjust pricing with 30 days' written notice to active subscribers
  • Overdue payments may result in account suspension until the outstanding balance is settled

7. Success Fee

In addition to any subscription fees, a success fee is payable when your organisation hires a candidate who was introduced to you through the Platform ("a Placed Candidate"). By publishing a job posting on the Platform, you agree to the success fee terms set out in this Section 7.

7.1 When the Fee Applies

The success fee is triggered when you, or any entity within your group, make an offer of employment, contracting engagement, or any other paid engagement to a Placed Candidate within 12 months of that candidate's introduction via the Platform, and that offer is accepted.

The 12-month introduction period begins on the date the candidate first applied to one of your job postings on the Platform.

7.2 Fee Rate

The success fee is 8% of the Placed Candidate's first-year gross base salary (excluding bonuses, commissions, equity grants, benefits, or any other variable or non-cash compensation). For part-time or fixed-term engagements shorter than 12 months, the fee is calculated on the annualised equivalent of the agreed base salary.

7.3 Notification Obligation

You must notify Mirai Recruit in writing at hello@mirairecruit.com within 14 days of making an offer to a Placed Candidate. Notification must include: the candidate's name, the agreed start date, and the agreed gross base salary.

Failure to notify within this period does not extinguish the fee obligation. If Mirai Recruit discovers an unreported placement, we reserve the right to invoice the success fee plus a 20% late-notification surcharge.

7.4 Invoicing and Payment

Mirai Recruit will issue an invoice within 14 days of receiving your notification. Payment is due within 30 days of the invoice date. Overdue amounts accrue interest at 1.5% per month (or the maximum rate permitted by applicable law, whichever is lower) from the due date until payment is made in full.

7.5 Exclusions

No success fee is payable if you can demonstrate, with written evidence, that the candidate was already known to your organisation — documented in your ATS, internal records, or prior correspondence — at least 6 months before the candidate applied through the Platform. The burden of proof rests with you.

7.6 Dispute Resolution

Any dispute regarding a success fee invoice must be raised in writing within 14 days of the invoice date. Disputes raised after this period will not be entertained. Mirai Recruit will endeavour to resolve disputes within 30 days of receipt. Undisputed portions of an invoice remain due on the original payment date.

8. Third-Party Links and Services

The Platform may contain links to third-party websites or integrate with third-party services (e.g., Stripe for payments). We are not responsible for the content, policies, or practices of any third-party services and encourage you to review their terms and privacy policies before use.

9. Intellectual Property

All Platform content, design, algorithms, assessment frameworks, scoring methodologies, and underlying software are the intellectual property of Mirai Recruit and are protected by copyright and other applicable laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose during your active subscription.

You retain ownership of job descriptions and other content you upload to the Platform. By uploading content, you grant Mirai Recruit a limited licence to store, display, and use that content to operate the Platform.

10. Disclaimer of Warranties

The Platform is provided "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or secure at all times. To the fullest extent permitted by applicable law, Mirai Recruit disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability and fitness for a particular purpose.

Mirai Recruit's assessment tools are designed to support, not replace, human hiring decisions. We make no guarantee that use of the Platform will result in successful hires, and employers remain solely responsible for all final employment decisions.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Mirai Recruit's total liability to you for any claim arising from or related to the Platform shall not exceed the total fees paid by you in the three months preceding the claim. In no event shall Mirai Recruit be liable for any indirect, incidental, special, or consequential damages.

12. Indemnification

You agree to indemnify and hold harmless Mirai Recruit and its officers, directors, employees, and agents from and against any claims, liabilities, damages, or expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any dispute between your organisation and a candidate arising from your use of assessment data.

13. Termination

Either party may terminate the agreement at any time. You may cancel your subscription via the billing portal in your account settings. We may suspend or terminate your access immediately if you breach these Terms, fail to pay, or if required by law.

Upon termination, your access to the Platform will cease. Your data will be retained for 90 days to allow export, after which it will be permanently deleted. Provisions that by their nature should survive termination (intellectual property, disclaimers, indemnity, limitations of liability) shall remain in effect.

14. Governing Law

  • These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law principles.
  • Any legal disputes arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the State of Delaware, USA, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms periodically. If we make material changes, we will update the "Effective Date" above and notify active account holders via email. Continued use of the Platform after the effective date of any update constitutes your acceptance of the revised Terms.
